IMPORTANT — PLEASE READ CAREFULLY
By accessing or using Ratevy ("the Service," "we," "us," or "our"), you ("User," "you") agree to be legally bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
1. DESCRIPTION OF SERVICE
Ratevy is a software-as-a-service (SaaS) platform that:
- Retrieves public Google Business Profile reviews via authorized APIs
- Analyzes reviews using artificial intelligence (Google Gemini)
- Generates suggested responses and business analytics reports
- Delivers insights via dashboard, email, and notifications
The Service is intended for business owners and marketing professionals (B2B use). It is not a consumer service.
2. ELIGIBILITY
You may use the Service only if:
- You are at least 18 years of age
- You are a legal business entity or self-employed individual
- You have the legal authority to enter into this agreement
- You are authorized to manage the Google Business Profile you connect to the Service
- Your use complies with all applicable laws in your jurisdiction
By using the Service, you represent and warrant that all of the above are true.
3. USER ACCOUNTS
3.1 Account Creation
You must provide accurate, complete, and current information when creating an account. You may register via email/password or via Google OAuth.
3.2 Account Security
You are solely responsible for:
- Maintaining the confidentiality of your login credentials
- All activities that occur under your account
- Immediately notifying us of any unauthorized access at support@ratevy.pro
3.3 One Account Per Business
Each account is for use by a single business owner or their designated team. Sharing accounts across unrelated businesses is prohibited.
3.4 Account Termination by User
You may delete your account at any time via the dashboard settings. Upon deletion, all your data will be permanently removed within 30 days. No refund will be issued for any remaining subscription period (see Section 6).
4. ACCEPTABLE USE
4.1 Permitted Use
You may use the Service to:
- Analyze Google reviews for businesses you own or are explicitly authorized to manage
- Generate and post AI-suggested responses to your business reviews
- Access analytics and reports for your connected business locations
4.2 Prohibited Use
You agree NOT to:
- Analyze, access, or scrape data from businesses you do not own or have no authorization to manage
- Use the Service to generate misleading, defamatory, or fraudulent review responses
- Attempt to reverse engineer, decompile, or copy any part of the Service
- Use the Service to train competing AI models or datasets
- Share your account credentials or resell access without a valid Agency plan
- Use the Service to violate Google's Terms of Service or any platform's policies
- Circumvent any usage limits, rate limits, or plan restrictions
- Use automated scripts to access the Service outside of authorized API access (Agency plan)
4.3 Consequences of Violation
We reserve the right to suspend or permanently terminate your account without notice or refund if you violate these terms.
5. INTELLECTUAL PROPERTY
5.1 Our Property
All software, design, code, trademarks, logos, and content comprising the Ratevy platform are the exclusive property of Ratevy and are protected by applicable intellectual property laws.
5.2 Your Content
You retain ownership of your business data, review content, and any customizations you make to AI-generated responses before posting them.
5.3 AI-Generated Content
AI-generated response drafts are provided as suggestions only. You are solely responsible for reviewing, editing, and approving any content before publishing it to your Google Business Profile. Ratevy does not guarantee the accuracy, appropriateness, or legal compliance of AI-generated content.
5.4 License Grant
By connecting your Google Business Profile to Ratevy, you grant us a limited, non-exclusive, revocable license to access your business review data solely for the purpose of providing the Service.
6. PAYMENTS, SUBSCRIPTIONS, AND REFUND POLICY
6.1 Subscription Plans
Ratevy offers the following subscription tiers:
- Free: $0/month — subject to usage limits as described on the pricing page
- Pro: $29/month — billed monthly
- Agency: $99/month — billed monthly
- Enterprise: custom pricing
Current plan features and limits are published at ratevy.pro/pricing.html and may be updated with 30 days' notice.
6.2 Billing
- Subscriptions are billed monthly in advance on the date of upgrade
- Payment is processed via Stripe, a PCI-DSS compliant payment processor
- All prices are in USD unless otherwise stated
- Applicable taxes (including US sales tax via Stripe Tax) may be added at checkout
6.3 NO REFUND POLICY — UNITED STATES AND CANADA
ALL PAYMENTS ARE FINAL AND NON-REFUNDABLE.
By completing a purchase, you expressly acknowledge and agree that:
- No refunds will be issued for any subscription fees, whether partial or full
- Cancellation of your subscription stops future charges but does not entitle you to a refund for the current billing period
- Downgrading your plan does not entitle you to a prorated refund
- Account termination for violation of these Terms does not entitle you to a refund
- Unused analyses, reports, or features within a billing period are not refundable
This policy applies to all users in the United States and Canada. If you are unsatisfied with the Service, you may cancel at any time to prevent future charges.
6.4 EUROPEAN UNION AND POLAND — RIGHT OF WITHDRAWAL (WAIVER)
For users in the European Union, including Poland, consumer law provides a 14-day right of withdrawal from digital service contracts.
However, by creating an account and initiating use of the Service (including running an analysis, accessing the dashboard, or receiving a report), you explicitly request immediate commencement of the Service and expressly acknowledge that you waive your 14-day right of withdrawal in accordance with Article 16(m) of EU Directive 2011/83/EU.
After accessing the Service, no refunds will be issued. This waiver is confirmed by your acceptance of these Terms and your active use of the Service.
B2B users (businesses, sole proprietors, agencies) do not have statutory consumer withdrawal rights and the no-refund policy applies without the above waiver mechanism.
6.5 Exceptions (Sole Discretion)
We may, at our sole discretion, issue credits or partial refunds in exceptional circumstances (e.g., documented technical failure preventing all access for 7+ consecutive days). Such exceptions do not constitute a waiver of this policy.
6.6 Cancellation
You may cancel your subscription at any time via:
- Dashboard → Billing → Cancel Subscription
- Email to support@ratevy.pro
Cancellation takes effect at the end of the current billing period. You retain access to paid features until that date.
6.7 Failed Payments
If a payment fails, we will:
- Retry the charge automatically (up to 3 times)
- Send an email notification
- Provide a 3-day grace period
- Downgrade your account to the Free plan if payment is not resolved
6.8 Price Changes
We reserve the right to change subscription prices with 30 days' prior notice via email. Continued use of the Service after the notice period constitutes acceptance of the new price.
7. FREE PLAN AND TRIAL
The Free plan is provided without warranty and is subject to rate limits and feature restrictions as published on the pricing page. We reserve the right to modify, restrict, or discontinue the Free plan at any time without notice or liability.

The Service relies on the following third-party providers:

We are not responsible for any disruption, change in terms, or discontinuation of these third-party services. Changes to Google's API policies may affect Service functionality without prior notice. No refund is due as a result of third-party service changes beyond our control.
9. SERVICE AVAILABILITY AND SLA
9.1 No Uptime Guarantee
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We do not guarantee uninterrupted or error-free access.
9.2 Scheduled Maintenance
We will endeavor to provide advance notice of planned maintenance windows via email or dashboard notification.
9.3 AI Accuracy Disclaimer
AI-generated analytics, insights, and suggested responses are provided for informational purposes only. We make no warranty regarding the accuracy, completeness, or fitness for any particular purpose of AI-generated content. You are solely responsible for reviewing and approving all content before publishing.
10. LIMITATION OF LIABILITY
10.1 Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RATEVY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10.2 Limitation of Damages
IN NO EVENT SHALL RATEVY BE LIABLE FOR ANY:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Damages resulting from your reliance on AI-generated content
- Damages resulting from third-party API changes or outages
10.3 Maximum Liability Cap
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF:
(A) THE TOTAL AMOUNT YOU PAID TO RATEVY IN THE 3 MONTHS PRECEDING THE CLAIM, OR
(B) $50 USD.
10.4 Jurisdictional Limitations
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such cases, our liability is limited to the minimum extent permitted by applicable law.
11. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Ratevy and its operators, agents, and affiliates from and against any claims, damages, losses, and expenses (including legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Content you post or publish using our AI-generated suggestions
- Your violation of any third party's rights
12. PRIVACY
Your use of the Service is subject to our Privacy Policy at ratevy.pro/privacy.html, which is incorporated into these Terms by reference.
13. GOVERNING LAW AND DISPUTE RESOLUTION
13.1 For Users in the United States and Canada
These Terms shall be governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration under the American Arbitration Association (AAA) Commercial Arbitration Rules. You waive any right to a jury trial or class action.
13.2 For Users in the European Union and Poland
For users in the EU, including Poland, these Terms are governed by Polish law. Disputes that cannot be resolved amicably shall be submitted to the competent courts of Poland. EU consumers may also use the EU Online Dispute Resolution platform at ec.europa.eu/odr.
13.3 Informal Resolution First
Before initiating any legal proceedings, you agree to first attempt to resolve any dispute by contacting us at support@ratevy.pro. We will make reasonable efforts to resolve the issue within 30 days.
14. CHANGES TO TERMS
We reserve the right to modify these Terms at any time. For material changes, we will:
- Send an email notification at least 14 days in advance
- Display a prominent notice on the dashboard
Continued use of the Service after the effective date of changes constitutes your acceptance of the new Terms. If you do not agree to the changes, you must cancel your subscription before the effective date.
15. MISCELLANEOUS
15.1 Entire Agreement
These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Ratevy regarding the Service.
15.2 Severability
If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
15.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
15.4 Assignment
You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights freely.
15.5 Language
These Terms are drafted in English. Any translated versions are provided for convenience only. In the event of conflict, the English version controls.
